01Agreement to these terms

These Website Terms and Conditions (the “Terms”) are a binding agreement between you and LOCAL City Places LLC (“LOCAL Pennsylvania Places,” “we,” “us” or “our”). They govern your use of www.localpennsylvaniaplaces.com, its pages, merchant tools, emails and related features (together, the “Service”).

By using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service on behalf of a business or other organization, you agree to these Terms for that organization and confirm you have authority to do so; “you” then includes that organization. If you do not agree, do not use the Service.

03Who can use the Service

Anyone can browse public pages without an account. The Service is intended for people in the United States and is not directed to children under 13. You must be at least 18 years old, and able to form a binding contract, to create a merchant account, manage a listing, sign an agreement or submit payment information.

You may not use the Service if we have previously suspended or removed your access, or if doing so would violate applicable law.

04Business listings and directory information

LOCAL Pennsylvania Places is a directory of local Pennsylvania businesses. Listing details come from businesses themselves, their official websites and profiles, and other public sources we review. We work to keep listings accurate, but businesses change hours, menus, prices, services and locations without telling us.

  • Confirm before you go. Check important details, such as hours, availability, prices, licensing or accessibility, directly with the business before relying on them.
  • A listing is not an endorsement. Including a business, featuring it or placing it in a category does not mean we recommend, guarantee, license or have inspected it. Featured and promotional placements may be part of paid merchant services.
  • Your dealings are with the business. Purchases, reservations, bookings, quotes and services you arrange through a listing or its links are solely between you and that business. We are not a party to them and are not responsible for the business’s products, services, conduct or policies.
  • Corrections are welcome. If a listing is wrong, outdated or should not appear, contact us at team@localcityplaces.com. We may update, decline, hide or remove any listing at our discretion.

05Merchant Pages and accounts

Businesses can register for a free Merchant Page. No payment information is required to create one. When you register or manage a listing:

  • Give accurate information about yourself and the business, and keep it current. You confirm that you are the owner, an employee or an authorized representative of the business.
  • Submitting is not publishing. Registrations and edits may be reviewed before they appear publicly. We decide whether, when and how a listing is published, categorized or featured.
  • Registration does not transfer ownership. Registering a business name or address does not give you control of an existing listing. Access to manage a listing is granted only through our review or a valid invitation, and we may require reasonable proof of your connection to the business.
  • Protect your access. Keep your password and email account secure, do not share sign-in links, and tell us promptly about unauthorized use. You are responsible for activity under your account and for the people you invite to manage your listing.
  • Managers and invitations. A business may have more than one manager. Invitations are personal to the invited email address. If there is a dispute about who controls a listing, we may suspend editing or decide access based on the information available to us.

06Content you submit

“Merchant Content” means the text, photos, logos, videos, audio, hours, links, menus, social profiles and other material you submit for a listing. You keep ownership of your Merchant Content.

You grant LOCAL City Places LLC a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers) license to host, store, copy, reformat, resize, crop, compress, display, publish and distribute your Merchant Content in connection with operating, improving and promoting the Service and your listing, including on our sites, emails, magazines, social channels and other marketing for the Service. This license continues for a reasonable period after you remove content or close your account so we can remove it from active pages, and indefinitely for backups, records we must keep and copies already distributed.

You represent that your Merchant Content:

  • is accurate and not misleading, and describes only your own business;
  • is owned by you or used with all permissions needed, including from photographers and any people who appear in photos or media;
  • does not infringe anyone’s copyright, trademark, privacy, publicity or other rights; and
  • complies with law, including advertising, consumer-protection and licensing rules that apply to your industry.

We are not obligated to publish, keep or review Merchant Content, and we may edit it for format, length, clarity, accuracy or consistency, or remove it at any time.

08Acceptable use

Use the Service lawfully and respectfully. You agree not to, and not to help anyone else:

  • submit false, misleading or fraudulent information, impersonate a person or business, or claim a business you do not represent;
  • scrape, crawl, harvest or bulk-copy listings, photos or other data, or build a competing directory or dataset from the Service, except that public search engines may index public pages in accordance with our robots.txt file;
  • probe, scan or test the Service’s vulnerabilities, bypass authentication, rate limits or access controls, or access accounts, records or areas you are not authorized to use;
  • interfere with or overload the Service, or introduce malware or harmful code;
  • upload content that is unlawful, infringing, defamatory, obscene, hateful, harassing or that violates anyone’s privacy;
  • use the Service to send spam, or to collect contact information about businesses or people for unsolicited marketing; or
  • copy, modify, reverse engineer or resell the Service, except as the law expressly permits.

If you believe you have found a security issue, please report it to team@localcityplaces.com without accessing other people’s data. We appreciate responsible reports.

09Magazines, promotions and upcoming features

  • City LIVING. Magazine covers, editions and articles may include previews and concept artwork. Editorial content is for general information only.
  • CITYWIN. Sweepstakes and giveaways are governed solely by their official rules, which will be published before entries open. No entry is accepted unless those rules say so, and the rules control over these Terms for that promotion.
  • City STORE. The store is a preview. No orders are taken, and product images are illustrative. Terms of sale will be published before purchases are offered.
  • LOCAL Insider. Consumer membership is not yet open. Membership benefits and terms will be published before registration is available.
  • Changes to features. We may add, change, suspend or discontinue any part of the Service at any time.

10Third-party websites and services

Listings link to business websites, menus, ordering, reservation and booking pages, social profiles and maps. Some pages embed content from others, such as Google Maps and Vimeo videos. These third-party sites and services are operated independently and have their own terms and privacy practices. We do not control them and are not responsible for their content, availability or conduct.

Google Maps content is provided by Google. By using maps or the optional Google business search in merchant signup, you agree to the Google Maps/Google Earth Additional Terms of Service and acknowledge the Google Privacy Policy. Review and correct any business information that lookup fills in before you submit it.

11Our intellectual property

The Service, including its design, software, text, graphics, artwork, compilations of listing data, and our names and logos, such as LOCAL Pennsylvania Places, City LIVING, CITYWIN and MARKETLOCK360, is owned by LOCAL City Places LLC or its licensors and is protected by intellectual property laws. Business names, logos and trademarks shown in listings belong to their respective owners.

We give you a limited, personal, revocable, non-transferable license to access and use the Service for its intended purpose, subject to these Terms. You may share links to public pages. No other rights are granted.

If you send us ideas or feedback, we may use them without restriction or compensation to you.

13Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.

We do not warrant that listings, hours, prices, maps, magazine or other content will be accurate, complete, current, uninterrupted, secure or error-free, or that any business will meet your expectations. Some jurisdictions do not allow certain warranty disclaimers, so some of these may not apply to you.

14Limitation of liability

To the fullest extent permitted by law, LOCAL City Places LLC and its owners, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising out of or relating to the Service or these Terms, even if advised of their possibility.

Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $100. Paid services are subject to the liability terms of your Merchant Services Agreement.

We are not liable for the acts, omissions, products or services of any business listed on the Service, or of any third-party site or service. These limits apply to every legal theory and survive termination. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or for gross negligence or willful misconduct where the law does not permit a limit.

15Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless LOCAL City Places LLC and its owners, officers, employees, contractors and agents from claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from your Merchant Content, your business’s products or services, your misuse of the Service, or your violation of these Terms, the law or anyone else’s rights. We may assume control of the defense of any matter, and you will cooperate with us.

16Suspension and termination

You may stop using the Service at any time, and may ask us to close your account or remove your listing by emailing team@localcityplaces.com. Closing an account does not cancel obligations under a signed Merchant Services Agreement.

We may suspend or end your access, remove content or unpublish a listing at any time if we reasonably believe you have violated these Terms, to protect users, businesses or the Service, or if we stop offering the Service. Where appropriate and lawful, we will tell you why. Sections that by their nature should survive, including content licenses already used, payment obligations, disclaimers, limitations of liability, indemnity and dispute terms, survive termination.

17Governing law and disputes

Talk to us first. Most concerns can be resolved quickly. Before filing a claim, you agree to email team@localcityplaces.com with a description of the dispute and the relief you want, and to give us 30 days to try to resolve it informally. We will do the same for you.

These Terms are governed by the laws of the State of Arizona and applicable federal law, without regard to conflict-of-law rules. Any action arising from these Terms or the Service must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you and we consent to their personal jurisdiction. Either party may bring an individual claim in small claims court where it qualifies. If you are a consumer, this does not take away protections of the law where you live that cannot be changed by contract.

18Changes to these terms

We may update these Terms as the Service changes. We will post the updated Terms here with a new effective date and, for material changes, give reasonable advance notice, for example by email to merchants or a notice on the site. Changes do not apply retroactively to disputes that arose before they took effect. Continuing to use the Service after the effective date means you accept the updated Terms.

19General terms

  • Electronic communications and signatures. You agree to receive notices, sign-in links and agreement documents electronically, and that electronic signatures and records you provide through the Service have the same effect as signed paper documents. You can request a copy of any agreement you signed.
  • Entire agreement. These Terms, the Privacy Policy and any Merchant Services Agreement or official rules you accept are the entire agreement between you and us about the Service.
  • Severability and waiver. If a provision is found unenforceable, the rest remains in effect and that provision will be enforced to the maximum extent permitted. Not enforcing a provision is not a waiver.
  • Assignment. You may not transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.
  • Events beyond our control. We are not liable for delays or failures caused by events outside our reasonable control, including outages of hosting, email, map or streaming providers.
  • No third-party beneficiaries are created by these Terms. Headings are for convenience only, and “including” means “including without limitation.”
